Reply of the State Administration for Industry and Commerce on the Issues concerning the Applicable Laws for Administrative Punishment on Offices of Foreign ¨Cfunded Enterprises

Your Request for Instructions on Whether or not to apply the Detailed Rules for the Implementation of the Administrative Regulations on the Registration of Enterprise Legal Persons to the Punishment on Offices of Foreign-funded Enterprises Whose Valid Period Is Expired (No.118 [2005] of Chengdu Administration for Industry and Commerce) has been received. Upon investigation and deliberation, the reply is made as follows,

In accordance with the provisions of Articles 22 and 46 of the Detailed Rules for the Implementation of the Administrative Regulations on the Registration of Enterprise Legal Persons, the alteration registration of major registration matters of the offices of foreign-funded enterprises shall be carried out by referring to the relevant provisions on the alteration registration of foreign-funded enterprises. If any office of foreign-funded enterprises fails to conduct alteration registration of the main registration matters according to the said provisions, it shall be subject to the administrative punishment by referring to the provisions of item (3) of Article 63 of the Detailed Rules for the Implementation of the Administrative Regulations on the Registration of Enterprise Legal Persons.
